Terms of Service

1. Acceptance of terms

By signing up, accessing, or using Banneker (the "Service"), you agree to these Terms of Service. If you use Banneker on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Description of the Service

Banneker is an online training platform operated by Portage Systems. It allows organizations to create, assign, and track training modules and standard operating procedures ("SOPs") for their staff. Features may change as we improve the product.

3. Account responsibilities

You are responsible for keeping your account credentials secure and for all activity under your account. Organization admins are responsible for managing their learners, content, and billing relationship. You must provide accurate information and promptly update it if it changes.

4. Subscriptions and billing

Banneker is offered on monthly or annual subscription plans. Annual plans are billed once per year at a discounted rate. All plans begin with a 30-day free trial. No credit card is required to start the trial.

After the trial, subscriptions automatically renew at the selected billing interval unless you cancel. You may cancel at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period, and no refunds are provided for partial months or years.

Payments are processed by Stripe. We do not store full payment card numbers on our servers. All fees are exclusive of taxes, which you are responsible for paying where applicable.

5. Acceptable use

You may not use Banneker to upload or distribute unlawful, harmful, infringing, or offensive content; to attempt to gain unauthorized access to the Service; to interfere with other users; or to violate any applicable law. We may suspend or terminate accounts that violate these rules.

6. Customer data and content

You retain ownership of all content, documents, training records, and learner data you upload or create in Banneker. You grant Portage Systems a limited license to host, process, and display that content solely to provide the Service to you and your learners. We will not use your content to train third-party AI models.

7. Our intellectual property

Banneker, including its software, design, branding, and documentation, is owned by Portage Systems and protected by intellectual property laws. These terms do not grant you any right to copy, modify, distribute, or reverse-engineer the Service.

8. Third-party services

Banneker integrates with third-party services, including Stripe for payments and cloud infrastructure providers for hosting. Your use of those services is subject to their own terms and policies. Portage Systems is not responsible for third-party service outages or practices.

9. Service availability

We aim to keep Banneker available, but we do not guarantee uninterrupted access. Scheduled maintenance, unexpected issues, or events beyond our control may cause downtime. We provide the Service "as is" without an uptime warranty.

10. Disclaimer of warranties

To the fullest extent permitted by law, Banneker is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet all legal or regulatory requirements for your industry.

11. Limitation of liability

To the maximum extent permitted by law, Portage Systems will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability will not exceed the amount you paid to us in the twelve months before the claim.

12. Termination

You may cancel your subscription at any time. We may suspend or terminate your access if you violate these terms or if required by law. Upon termination, your access to the Service ends, but we may retain your data for a reasonable period as described in our Privacy Policy or as required by law.

13. Changes to terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use after the effective date means you accept the updated terms.

14. Governing law and contact

These terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles. Any disputes arising out of or relating to these terms or the Service will be resolved exclusively in the state or federal courts located in Minnesota.
